Mirosław has over twenty years of experience in handling mergers and acquisitions, private equity funds (including share deals/asset deals, mergers, company transformations, and divisions), and capital market transactions (including reverse-merger, IPOs, pre-IPOs, delisting, stock options, bond issues). He boasts vast experience in banking & finance, including corporate finance projects, project finance, sustainable finance, LMA credits, distressed debt, investment funds, hybrid securities, and mezzanine financing.
He specializes in securities law, capital markets law, commercial law, financial markets law, and regulatory law relevant to ESG & Sustainability, sustainable finance (green bonds, green loans, sustainability-linked bonds), and corporate governance. He also has in-depth knowledge of civil law, international private law, and international tax law.
He has participated in numerous international, specialist training programs and conferences on the security of M&A transactions. He has advised domestic and international entities that operate in the sectors of finance, energy, real estate, and modern technologies (TMT). He provides legal support to professional athletes / sports entities regarding strategic sponsoring deals. He has been actively involved in the Polish capital market for many years.
Mirosław is currently working on his PhD dissertation on company commercial companies law and capital markets law. Before joining Hoogells, he cooperated with the so-called “Big Four” consulting companies and other reputable law firms in Warsaw. He completed his pupillage, Executive MBA studies and the Sustainable Business Strategy program at Harvard Business School.
